PaybotX Agent Website & CRM Platform

1. Introduction & Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the PaybotX Agent Website & CRM Platform (“Platform”) operated by PAYBOTX (“Company,” “we,” “our,” or “us”).

By purchasing, accessing, using, or continuing to use the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

By using the Platform, you also acknowledge and agree that:

  • Payments are non-refundable
  • Subscription billing may recur automatically
  • PAYBOTX may suspend or terminate access for violations of these Terms
  • You are operating as an independent business or independent sales representative

If you do not agree to these Terms, you may not access or use the Platform.


2. Platform Services

The Platform provides business tools and infrastructure for independent sales agents, agencies, ISOs, and related businesses, which may include:

  • Branded website templates
  • Hosted business websites
  • CRM access
  • Lead management tools
  • Merchant intake forms
  • Contact management
  • Domain management assistance
  • AI-assisted business tools
  • Marketing resources
  • Reporting dashboards
  • Automation tools
  • Future platform enhancements and integrations

The Platform is provided as a software and business infrastructure service.

PAYBOTX is not responsible for:

  • Your sales performance
  • Merchant approvals
  • Processor underwriting decisions
  • Business revenue outcomes
  • Marketing success
  • Client conversion rates

3. Independent Business Relationship

Users of the Platform operate as independent businesses or independent sales representatives.

Nothing within these Terms creates:

  • Employment
  • Partnership
  • Franchise rights
  • Joint venture
  • Agency relationship
  • Exclusive territory rights

You are solely responsible for:

  • Your business activities
  • Your marketing practices
  • Your client relationships
  • Compliance with applicable laws and regulations

4. Website Templates & Branding

The Platform may provide access to pre-designed website templates, branding tools, graphics, layouts, and related digital assets.

Users may customize certain portions of their websites, including:

  • Business names
  • Logos
  • Contact information
  • Marketing content
  • Colors and branding elements

PAYBOTX retains ownership of:

  • Core platform technology
  • Backend systems
  • Website framework architecture
  • CRM systems
  • Software infrastructure
  • Proprietary tools and automation systems

Users may not:

  • Resell the platform itself
  • Copy platform source code
  • Replicate proprietary systems
  • Reverse engineer the Platform
  • Remove platform ownership notices where applicable

5. Domain Services

PAYBOTX may assist with:

  • Domain registration
  • DNS configuration
  • Hosting setup
  • SSL configuration
  • Domain management

Domains purchased through the Platform may be managed under PAYBOTX infrastructure for operational and management purposes.

Users are responsible for:

  • Maintaining active billing
  • Renewing domains
  • Providing accurate registration information

Failure to maintain subscription payments may result in:

  • Website suspension
  • DNS interruption
  • Loss of hosting services
  • Domain-related interruptions

Domain transfers may require:

  • Verification procedures
  • Administrative review
  • Applicable transfer or service fees where permitted by law

PAYBOTX reserves the right to suspend domain-related services connected to unpaid balances, abuse, fraud, or violations of these Terms.


6. CRM & Lead Management

The Platform may include CRM and lead management functionality.

Users are solely responsible for:

  • Lead follow-up
  • Merchant communications
  • Customer relationship management
  • Data accuracy
  • Compliance with communication laws

PAYBOTX does not guarantee:

  • Lead quality
  • Lead exclusivity
  • Merchant conversions
  • Sales performance

The Platform may store:

  • Lead data
  • Merchant submissions
  • Uploaded documents
  • Notes and communications
  • Workflow activity

Users must not upload:

  • Illegal content
  • Fraudulent information
  • Malware or harmful code
  • Unauthorized personal information

Leads generated through an agent’s assigned website are associated with the account owner assigned to that website unless otherwise determined by PAYBOTX.

PAYBOTX reserves the right to manage, reassign, suspend, investigate, or remove lead access where necessary for operational, compliance, fraud prevention, or platform integrity purposes.


7. AI Features & Automation Tools

The Platform may include AI-powered tools, automation systems, suggested messaging, content assistance, or sales support features.

AI-generated content is provided for informational and productivity purposes only.

Users remain fully responsible for:

  • Reviewing all content
  • Ensuring accuracy
  • Compliance with laws and regulations
  • Marketing representations
  • Final communications sent to merchants or customers

PAYBOTX does not guarantee:

  • Accuracy of AI outputs
  • Legal compliance of generated content
  • Business results from AI usage

AI tools may evolve, change, be modified, or be discontinued without notice.


8. Subscription Billing & Payments

Access to the Platform may require:

  • Monthly subscription fees
  • Annual subscription fees
  • Setup fees
  • Add-on purchases
  • Optional upgrades

All fees are billed in advance unless otherwise stated.

By subscribing, you authorize recurring billing using your selected payment method.

Failure to pay may result in:

  • Account suspension
  • Website deactivation
  • CRM access restriction
  • Removal of hosted services

PAYBOTX reserves the right to:

  • Change pricing
  • Modify plans
  • Adjust features
  • Introduce new service tiers

with reasonable notice where required.


9. Refund Policy

All payments made to PAYBOTX are non-refundable unless otherwise stated in writing.

This includes, but is not limited to:

  • Setup fees
  • Subscription fees
  • Website provisioning fees
  • Domain-related fees
  • Customization services
  • Add-on purchases
  • Upgrade fees

Because the Platform involves immediate digital provisioning, setup labor, hosting allocation, software access, and infrastructure deployment, refunds are not provided once services have been initiated or access has been granted.

Users are responsible for canceling subscriptions prior to their next billing cycle.

Cancellation of services does not waive any outstanding balances or previously incurred charges.

Chargebacks or payment disputes filed in bad faith may result in:

  • Immediate account suspension
  • Permanent termination
  • Collections activity where permitted by law
  • Recovery of associated fees and costs

10. Earnings Disclaimer

PAYBOTX does not guarantee:

  • Income
  • Sales volume
  • Merchant approvals
  • Residual earnings
  • Business growth
  • Lead conversion rates
  • Financial success

Any examples, estimates, projections, testimonials, or references to potential earnings are provided for illustrative purposes only.

Individual results vary based on:

  • Experience
  • Effort
  • Market conditions
  • Sales ability
  • Industry conditions
  • Business practices

Users accept full responsibility for their business performance.


11. Acceptable Use

Users may not use the Platform to:

  • Engage in illegal activity
  • Commit fraud
  • Misrepresent products or services
  • Spam or send unauthorized marketing
  • Infringe intellectual property rights
  • Distribute malware or harmful software
  • Violate financial, advertising, or consumer protection laws
  • Mislead merchants regarding approvals, funding, or partnerships
  • Use deceptive sales practices

PAYBOTX reserves the right to suspend or terminate accounts engaged in prohibited conduct.


12. Compliance Responsibilities

Users are solely responsible for compliance with:

  • Advertising laws
  • Email and SMS marketing laws
  • Financial marketing regulations
  • Data privacy regulations
  • Payment industry rules
  • Consumer protection laws

Users may not:

  • Misrepresent banking relationships
  • Guarantee merchant approvals
  • Make deceptive earnings claims
  • Falsely represent PAYBOTX partnerships

Users are solely responsible for obtaining any legally required consents before sending:

  • Emails
  • SMS communications
  • Automated outreach
  • Marketing campaigns

13. Communication Consent

By using the Platform, you consent to receive communications from PAYBOTX, including:

  • Emails
  • SMS messages
  • Notifications
  • Account alerts
  • Billing reminders
  • Service announcements
  • Support communications

Standard message and data rates may apply.

Users may opt out of certain non-essential communications where applicable.


14. Third-Party Services

The Platform may integrate with third-party providers, including:

  • Domain registrars
  • Hosting providers
  • CRM systems
  • Payment processors
  • Email systems
  • SMS platforms
  • AI service providers

Third-party services operate independently and may have separate terms and policies.

PAYBOTX is not responsible for:

  • Third-party outages
  • API failures
  • Service interruptions
  • Domain registrar issues
  • Hosting provider downtime

15. Intellectual Property

All Platform software, systems, branding elements, workflows, designs, automation systems, and proprietary materials remain the property of PAYBOTX unless otherwise stated.

Users receive a limited, revocable, non-transferable license to use the Platform while maintaining an active subscription.

No ownership rights are transferred to users.

Users grant PAYBOTX a limited license to host, display, process, and store submitted content solely for Platform operation and support purposes.


16. Platform Availability & Beta Features

Certain Platform features may be:

  • Experimental
  • In beta
  • Under development
  • Temporarily unavailable

PAYBOTX does not guarantee uninterrupted uptime or continuous feature availability.

Features may be:

  • Modified
  • Replaced
  • Removed
  • Delayed

without liability.


17. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

PAYBOTX makes no warranties regarding:

  • Continuous uptime
  • Website rankings
  • Sales performance
  • Merchant approvals
  • Revenue generation
  • Business success
  • Lead generation outcomes

We do not guarantee uninterrupted or error-free service.


18. Limitation of Liability

To the fullest extent permitted by law, PAYBOTX shall not be liable for:

  • Lost profits
  • Lost business opportunities
  • Data loss
  • Indirect damages
  • Consequential damages
  • Business interruption
  • Third-party claims

Our maximum liability shall not exceed the total fees paid by you to PAYBOTX during the six (6) months preceding the event giving rise to the claim.


19. Indemnification

You agree to indemnify and hold PAYBOTX harmless from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your business activities
  • Your marketing practices
  • Regulatory violations
  • Merchant disputes
  • Misrepresentations
  • Uploaded content
  • Violations of these Terms

20. Suspension & Termination

PAYBOTX may suspend or terminate access to the Platform at any time for:

  • Violation of these Terms
  • Fraud or suspicious activity
  • Non-payment
  • Abuse of the Platform
  • Regulatory or legal concerns
  • Security risks

Upon termination:

  • Access to hosted services may end
  • CRM access may be revoked
  • Website hosting may be disabled
  • Certain stored data may be deleted after a retention period

PAYBOTX reserves the right to preserve records, logs, and account information for compliance, operational, or legal purposes.


21. Modifications to Services & Terms

PAYBOTX may:

  • Modify Platform features
  • Add or remove functionality
  • Change pricing
  • Update integrations
  • Improve or discontinue services

We may also update these Terms at any time.

Continued use of the Platform constitutes acceptance of updated services and Terms.


22. Governing Law

These Terms shall be governed by the laws of the State of California.

Any disputes arising from these Terms shall be resolved in the courts located in San Diego County, California.
